Item 1.01.     Entry into a Material Definitive Agreement

On September 26, 2005, the Board of Directors of Herman Miller, Inc. approved an increase in the annual base salary for Brian Walker, the company’s Chief Executive Officer, to $600,000.

Item 8.01.     Other Events

On September 26, 2005, the Board of Directors of Herman Miller, Inc. extended the company’s stock repurchase program by authorizing share repurchases of $50 million, in addition to approximately $14 million still remaining from a previous authorization.
